The rules, guidelines, and agreements governing your use of National Personnel Solutions recruitment and estate services.

1. Acceptance of Terms

These Terms of Service ("Terms") are a binding agreement between you and National Personnel Solutions LLC ("National Personnel Solutions," "we," "us," or "our"). By accessing or using our website, submitting a recruitment request, applying as a candidate, or otherwise engaging any of our services (collectively, the "Services"), you agree to be bound by these Terms and our Privacy Policy. If you do not agree to all the terms and conditions, you may not access or use our Services. You must be at least 18 years old to accept these Terms.

2. Description of Services

National Personnel Solutions provides professional workforce recruitment solutions across six industry sectors nationwide:

Specific services, pricing, timelines, and placement terms are agreed upon separately between National Personnel Solutions and each client through a service agreement or recruitment order. We may modify, add to, or discontinue features of the Services at any time; we will provide reasonable notice of changes that materially reduce functionality you have already paid for.

As an employer or client engaging National Personnel Solutions's recruitment services, you agree to:

The non-solicitation obligation above applies only to the extent enforceable under the law of the state where the client operates; it does not apply, or applies only to the minimum extent permitted, in states that restrict such provisions (including California, Minnesota, North Dakota, and Oklahoma).

5. Background Checks (FCRA Notice)

Where National Personnel Solutions or a client requires a consumer report or investigative consumer report (a "background check") as part of the application or placement process, that background check is governed by the federal Fair Credit Reporting Act ("FCRA") and applicable state law, and by a separate, standalone disclosure and written authorization form provided to you before any background check is conducted — not by these Terms. If information obtained through a background check may result in an adverse action (such as declining to place or refer you), you will be provided a copy of the report and a summary of your rights under the FCRA, and a reasonable opportunity to dispute the accuracy of the report, before a final adverse action decision is made.

6. Confidentiality: Private Household & Estate Clients

All candidates and personnel placed in Private Estates or Estate Care & Concierge roles are required to sign binding confidentiality agreements. Disclosure of any private information about the client, property, household members, or any activities observed during the placement is strictly prohibited and may result in immediate termination and legal action.

7. Placement Guarantee & Replacement Policy

National Personnel Solutions offers a satisfaction guarantee on all placements. If a client is unsatisfied with a placed candidate within the first five (5) business days, National Personnel Solutions will provide a replacement candidate at no additional charge, subject to the availability of qualified candidates. This guarantee does not apply in cases where the candidate was removed due to client-side issues, contract breaches, or unsafe working conditions.

8. Billing & Payment Terms

Invoices are issued per the agreed recruitment order or service contract. Payment is due within the terms specified on each invoice. National Personnel Solutions reserves the right to suspend active placements for accounts with overdue balances. All prices are in USD. Disputes regarding invoices must be raised in writing within five (5) business days of receipt.

All content on the National Personnel Solutions website, including text, graphics, logos, and software, is the property of National Personnel Solutions LLC and is protected by applicable copyright and intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to access and use the Site for its intended purpose. You may not reproduce, distribute, or create derivative works without our prior written permission.

11. Disclaimer of Warranties

THE SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, EXCEPT AS PROHIBITED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY FLORIDA LAW, NATIONAL PERSONNEL SOLUTIONS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING FROM YOUR USE OF OUR SERVICES, INCLUDING BUT NOT LIMITED TO DAMAGES RELATED TO CANDIDATE PERFORMANCE, PLACEMENT DELAYS, OR WORKFORCE DISRUPTIONS. OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO OUR SERVICES SHALL NOT EXCEED THE FEES YOU PAID TO NATIONAL PERSONNEL SOLUTIONS IN THE THREE (3) MONTHS PRECEDING THE CLAIM. THIS LIMITATION DOES NOT APPLY TO DAMAGES CAUSED BY OUR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, OR WHERE PROHIBITED BY APPLICABLE LAW.

13. Indemnification

You agree to indemnify and hold harmless National Personnel Solutions, its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising out of your breach of these Terms, your violation of applicable law, or your misuse of the Site or Services.

14. Dispute Resolution — Please Read Carefully, As It Affects Your Legal Rights

Except as set forth below, you and National Personnel Solutions agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved through binding arbitration administered by the American Arbitration Association ("AAA") under its applicable rules, rather than in court, except that either party may bring an individual action in small claims court for disputes within that court's jurisdiction.

YOU AND NATIONAL PERSONNEL SOLUTIONS EACH WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE ACTION AGAINST THE OTHER.

Opt-Out: You may opt out of this arbitration agreement by sending written notice to the email address in the Contact Us section below within thirty (30) days of first accepting these Terms. Opting out will not affect your ability to use the Services, and it will not affect the enforceability of any other part of these Terms.

15. Governing Law & Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Subject to the arbitration provision above (including if you have opted out of it), you agree to the exclusive jurisdiction of the state and federal courts located in Pinellas County, Florida, for any dispute not subject to arbitration.

Material changes — including any change to the arbitration provision above — will be communicated by posting the updated Terms on this page with a revised effective date, and where appropriate by direct notice (such as email). Your continued use of our Services after changes are posted constitutes acceptance of the updated Terms.
